📋 Key Responsibilities:
• Conduct and manage due diligence for public and private M&A transactions
• Draft and negotiate purchase agreements, merger documents, and confidentiality agreements
• Collaborate with tax, finance, compliance, and operations teams throughout the transaction lifecycle
• Counsel clients on structuring, risk management, and regulatory matters
• Coordinate with internal departments and external advisors to ensure transaction efficiency
• Draft legal memoranda, internal presentations, and legal opinions
• Stay informed of market trends and changes in corporate governance standards

✅ Qualifications:
• 4–6 years of dedicated M&A experience at an Am Law 100 or comparable transactional firm
• Expertise in both public and private transactions, joint ventures, and corporate governance
• Strong drafting skills with exceptional attention to detail
• Demonstrated ability to manage complex deal components independently
• Admission to the New York State Bar and in good standing
• JD from an accredited U.S. law school
